1. Agreement to Terms
By accessing or using Advisory Stack ("the Platform"), operated by Evolve Mind Solutions Pty Ltd (ABN 41 672 546 217) ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform. These Terms operate together with our Privacy Policy, Tax Disclaimer, AI Disclaimer, Cookie Policy, Acceptable Use Policy and, where relevant, our Refund & Cancellation Policy and Marketplace & Reviewer Terms, all of which are incorporated into these Terms by reference.
2. Description of Service
Advisory Stack is an Australian tax-advisory technology platform. Depending on the account type you hold, the Platform provides:
- For individuals and sole traders (consumers): a free Tax Health Check, tax analysis, plain-English general tax information and modelling based on the figures you provide, an AI tax assistant, and optional paid subscriptions, one-off Tax Strategy Reports, and paid consultations.
- For businesses (companies, trusts, SMSFs): a workspace subscription offering entity-aware analysis, strategy modelling, and consultation booking.
- For registered tax and BAS agents and accounting firms: a white-label client portal, AI assistant, strategy catalogue, consultation tools, and (where opted in) participation in the advisor marketplace and reviewer panel.
The Platform is a technology and information service only. It does not lodge returns with the ATO on your behalf and does not provide personal tax, financial, or legal advice. See clause 8 (Tax Information Disclaimer).
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into these Terms. Self-serve consumer accounts are available to Australian-resident individuals and sole traders. Company, trust, and SMSF entities, and registered tax/BAS agents, are onboarded through their respective application or workspace flows. Where an account is created on behalf of an entity, you warrant that you are authorised to bind that entity to these Terms.
4. Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
5. Acceptable Use
Your use of the Platform is subject to our Acceptable Use Policy, which forms part of these Terms. In summary, you agree not to:
- Use the Platform for unlawful purposes
- Attempt to gain unauthorised access to any part of the Platform
- Interfere with or disrupt the Platform's infrastructure
- Upload malicious content, viruses, or harmful code
- Reverse-engineer, decompile, or disassemble the Platform
- Resell or sublicense access without a valid reseller subscription
- Submit another person's information without authority, or attempt to extract, jailbreak, or misuse the AI assistant
6. Subscriptions, Fees and Payment
Paid plans and products are billed through Stripe. Prices are in Australian Dollars (AUD) and, where the supplier is registered for GST, are inclusive or exclusive of GST as stated at the point of sale. We may change pricing with at least 30 days' written notice; changes do not affect a billing period already paid for. The Platform offers several charge types:
- Recurring subscriptions (consumer, business workspace, and tax-agent firm plans) billed monthly or annually, renewing automatically until cancelled.
- Metered / per-active-client charges on certain firm plans — a flat base fee plus a per-active-client amount, where "active" means a client with an engagement signal in the preceding 90 days, as described at checkout.
- One-off purchases such as the One-off Tax Strategy Report and bookable consultations, charged at the time of purchase.
You authorise us (and Stripe) to charge your nominated payment method for all fees due. Cancellation and refund rights are set out in our Refund & Cancellation Policy, which operates in addition to your non-excludable rights under the Australian Consumer Law (ACL).
7. Consultations, Marketplace and Agent Payouts
Where you book a paid consultation or engage a tax agent through our marketplace, the advisory relationship is between you and that registered tax agent or firm, governed by their own engagement terms. We act only as the technology platform and payment facilitator. Agents and firms who receive funds through the Platform are paid via Stripe Connect and are responsible for their own tax, GST, and Tax Practitioners Board (TPB) obligations. Marketplace and reviewer participation is further governed by our Marketplace & Reviewer Terms.
8. Tax Information Disclaimer
All tax information, strategies, and AI-generated content provided through the Platform is general information only and does not constitute personal tax, financial, or legal advice. Users must consult a registered tax agent or qualified professional before acting on any information provided.
Not financial product advice. The Platform is not licensed to provide financial product advice and does not hold an Australian Financial Services Licence (AFSL). Nothing on the Platform is a recommendation to acquire, dispose of, switch, or roll over any specific superannuation fund, investment, or insurance product. Such decisions require advice from an AFSL-licensed financial adviser, and you agree not to rely on the Platform for them.
9. AI-Generated Content
The Platform uses artificial intelligence to generate general tax information and modelling. AI-generated content is clearly labelled and must not be relied upon as a substitute for professional advice. We do not guarantee the accuracy, completeness, or currency of AI outputs.
10. Intellectual Property
All Platform content, code, designs, trademarks, and documentation are owned by Evolve Mind Solutions Pty Ltd (ABN 41 672 546 217) or its licensors. Subscribers receive a limited, non-exclusive licence to use the Platform under their own branding for the duration of their subscription.
11. Privacy
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information in accordance with the Privacy Act 1988 (Cth).
12. Limitation of Liability
To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, or consequential damages. Our total liability is limited to the fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes or limits consumer guarantees under the Australian Consumer Law.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Evolve Mind Solutions Pty Ltd (ABN 41 672 546 217), its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Platform or breach of these Terms.
14. Termination
We may suspend or terminate your account at any time for breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.
15. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales. Nothing in these Terms excludes or limits the operation of the Competition and Consumer Act 2010 (Cth).
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
